1. Introduction

Welcome to Qikr AI ("we," "us," or "our"). Qikr AI is an AI-powered educational platform that provides teachers and students with AI assistants for learning and instruction. By creating an account or using our services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services.

If you use this service on behalf of a company, institution, or other legal entity, you confirm that you have the authority to bind that entity to these Terms & Conditions. In that case, “you” and “your” refer to the entity. If you do not have this authority, or if you do not agree to these Terms & Conditions, you must not accept this Agreement or use the Qikr AI platform. Qikr AI is not responsible for any use of the services without proper authorization.

2. Eligibility

Our services are intended for use by educators and students in educational settings. If you are under 13 years of age, you may only use Qikr AI if your school or district has obtained appropriate consent in accordance with the Children's Online Privacy Protection Act (COPPA) and any applicable state laws. Teachers and school administrators are responsible for ensuring that parental or guardian consent is obtained before allowing students under 13 to access the platform. By signing up, you represent that you meet these eligibility requirements or that appropriate consent has been obtained on your behalf.

3. Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to: (a) provide accurate, current, and complete information during signup; (b) keep your login credentials confidential and not share them with any other person; (c) notify us promptly at support@qikr.ai if you suspect unauthorized access to your account; and (d) accept responsibility for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Acceptable Use

You agree to use Qikr AI only for lawful educational purposes. You may not: (a) attempt to gain unauthorized access to any part of the service; (b) use the platform to generate harmful, abusive, or inappropriate content; (c) share your account credentials with others; (d) use automated tools to scrape, crawl, or overload the service; (e) reverse engineer, decompile, or attempt to extract the source code, underlying algorithms, or models of the platform; (f) use the service for competitive analysis, benchmarking, or to build a competing product or service; (g) access the service for research or evaluation purposes without prior written consent; (h) use the platform in any way that could harm minors; or (i) violate any applicable laws or regulations.

5. AI-Generated Content

Qikr AI uses artificial intelligence, including third-party AI models, to generate responses and educational content. You acknowledge that: (a) AI-generated content may not always be accurate, complete, or up to date; (b) AI-generated content is provided for educational support and should not be relied upon as a sole source of truth; (c) teachers and students should exercise independent judgment when using AI-generated materials; and (d) we are not responsible for decisions made based on AI-generated content. You are solely responsible for how you use, share, and apply any content generated through the platform.

6. User Content & Intellectual Property

All content, features, and functionality of the Qikr AI platform (excluding user-uploaded materials) are owned by us and protected by applicable intellectual property laws. You retain ownership of any materials you upload to the platform ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to process, store, and display it solely for the purpose of providing our services to you. You represent that you have the necessary rights to upload any User Content and that such content does not infringe on the rights of any third party. We reserve the right to remove User Content that violates these terms or applicable law.

All Student Data transmitted to Qikr AI will continue to be the property of and under your control. Qikr AI further acknowledges and agrees that all copies of such Student Data transmitted to Qikr AI, including any modifications or additions or any portion thereof from any source, are subject to the provisions in the same manner as the original Student Data. Qikr AI  acknowledges  that all rights, including all intellectual property rights in and to Student Data contemplated per these terms , shall remain your exclusive property. For the purposes of FERPA, Qikr AI shall be considered a School Official, under your control and direction as it pertains to the use of Student Data, notwithstanding the above.

Student Data: Student Data includes any data, whether gathered by Qikr AI or provided by your institution or its users, students, or students’ parents/guardians, that is descriptive of the student. This includes, but is not limited to,  information in the student’s educational records, first and last name, email address, test results, special education data, grades, evaluations, disabilities, documents, or any other information or identification number that would provide information about a specific student. Student Data includes Meta Data. Student Data shall constitute Education Records for the purposes of this Addendum, and for the purposes of federal, state, and local laws and regulations. Student Data shall not constitute any information that has been anonymized or de-identified, or anonymous usage data regarding a student’s use of Qikr AI’s services.

7. Privacy & Data

We take your privacy seriously. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these terms by reference. We are committed to complying with applicable data protection laws including the Family Educational Rights and Privacy Act (FERPA) for student education records. When we process student data on behalf of a school, we intend to operate as a "school official" with legitimate educational interest as defined by FERPA. We do not use student data for advertising or marketing purposes. Upon termination of services with a school, we will delete or return student data as directed. Schools and districts that require a Data Processing Agreement (DPA) should refer to our published DPA or contact support@qikr.ai for details.

8. Cookies & Analytics

Our platform uses cookies and similar technologies to maintain your session, remember your preferences, and understand how the service is used. We use analytics tools to improve the platform experience. These technologies do not track you across other websites and are not used for advertising. For more details, see our Privacy Policy.

9. Data Retention & Deletion

We retain your personal data and User Content only for as long as necessary to provide our services and comply with legal obligations. You may request deletion of your account and associated data by contacting support@qikr.ai. Upon account deletion, we will remove your personal data within 30 days, except where retention is required by law. Chat history and AI interaction logs may be retained in anonymized form for service improvement purposes. Please note that in the absence of an account deletion request, we will delete or de-identify data after a period of inactivity in accordance with our standard data retention policies. 

10. Third-Party Services

We do work with vendors, service providers, and other partners to help us provide Qikr AI services by performing tasks on our behalf, including cloud infrastructure and AI model providers. We may need to share or provide information (including personal information) to them to help them perform these business functions, These providers have limited access to your personal information to perform these tasks on our behalf, and are contractually bound to protect and use it only for the purpose for which it was disclosed and consistent with the Terms and Conditions and our Privacy Policy. 11. Copyright & Content Claims

We respect intellectual property rights. If you believe that content on our platform infringes your copyright or other intellectual property rights, please contact us at support@qikr.ai with a description of the claimed infringement, the location of the material, and your contact information. We will review and respond to all legitimate claims promptly and may remove or disable access to infringing material.

We are committed to making Qikr AI accessible to all users, including those with disabilities. We continuously work to improve the accessibility of our platform and welcome feedback. If you encounter accessibility barriers or have suggestions for improvement, please contact us at support@qikr.ai.

13. Service Availability

Service availability commitments, uptime guarantees, and related support terms are governed by the specific agreement between Qikr AI and your school or district. Individual users should refer to their school or district administrator for details about service level commitments applicable to their institution.

14. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR PURPOSE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QIKR AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO RELIANCE ON AI-GENERATED CONTENT, LOSS OF DATA, OR INTERRUPTION OF SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless Qikr AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to: (a) your use of the service; (b) your violation of these terms; (c) your User Content; or (d) your violation of any rights of a third party.

17. Termination

We may suspend or terminate your account at any time for violation of these terms or for any other reason at our discretion, with or without notice. You may delete your account at any time by contacting support@qikr.ai. Upon termination: (a) your right to use the service ceases immediately; (b) we may delete your data in accordance with Section 9; and (c) provisions that by their nature should survive termination (including Sections 6, 14, 15, 16, and 19) will remain in effect.

18. Dispute Resolution

Any dispute arising from or relating to these terms or your use of the service shall first be addressed through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the English language. Each party shall bear its own costs of arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

19. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

20. General Provisions

These Terms & Conditions constitute the entire agreement between you and Qikr AI regarding the use of our services. If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision. We may assign our rights and obligations under these terms without restriction. You may not assign your rights or obligations without our prior written consent.

21. Changes to These Terms

We may update these Terms & Conditions from time to time. We will notify you of material changes by updating the "Last Updated" date at the top of these terms and, where appropriate, by email or in-app notification. Your continued use of the service after changes are posted constitutes acceptance of the updated terms. If you do not agree to the updated terms, you must stop using the service and may request account deletion.
